In the U.S., Repsol has an exploration and production presence in the Deepwater Gulf of Mexico, the North Slope of Alaska, Kansas, Oklahoma, Pennsylvania and Texas. North America is a strategic growth area for Repsol.

 

The U.S. affiliate of Repsol is looking to add an experienced attorney to its U.S. legal department based in The Woodlands, Texas. The successful candidate will report to the General Counsel for the U.S. and will be the primary point of contact for Repsol’s U.S. natural gas trading business. The role will be primarily transactional, and the candidate will be responsible for drafting, reviewing, negotiating, and advising the U.S. affiliate on a variety of agreements and commercial structures, as well as advising on issues relating to derivatives (such as swaps, forwards and futures), natural gas sales/purchases, transportation and storage, natural gas trading compliance and regulatory compliance matters. Candidates should be able to work on culturally diverse teams.

 

Responsibilities

 

  • Provide legal support to the commodities trading business, in particular, by providing advice and guidance regarding derivative and physical transactions for natural gas, as well as LNG;
  • Draft, review and negotiate master trading documentation (ISDA, EEI, NAESB), bespoke trading agreements, margining agreements, and security documents with counterparties;
  • Develop, draft and negotiate structured gas transactions, including asset management agreements, auctions and RFP responses, and gas supply and storage and transportation agreements;
  • Have experience with the identification, assessment and monitoring of current and emerging regulatory and compliance issues impacting the business;
  • Be able to provide updates to the trading compliance manuals and provide annual trading compliance training for front office as well as back office functions;
  • Ensure compliance with internal policies and procedures and identify areas for improvement;
  • Monitor and oversee outside counsel performance, fees and expenses to achieve cost effective and high quality legal advice;
  • Interface on relevant legal matters with colleagues in the United States, Canada, Spain and possibly other countries;
  • Work as a team with other departments within Repsol to ensure issues are examined from all necessary angles.

Qualifications

  • The legal authorization to work in the U.S. for any employer;
  • Juris Doctor from an accredited law school and licensed to practice law in Texas or another a U.S. jurisdiction;
  • Approximately 10 years of transactional experience working in a law firm, or practicing as in-house counsel for an energy or commodities trading company;
  • Solid knowledge of ISDA master agreement, EEI, and NAESB required;
  • Specific experience with regulatory issues related to the CFTC and FERC required;
  • Strong negotiation and communication skills (written and oral) are required;
  • Must have the ability to manage a variety of time sensitive demands;
  • Strong attention to detail, analytical skills, judgment, enthusiasm and interpersonal skills.
